1, The terms and conditions of Meridian’s Fixed Energy Plan (“Plan”) are additional to, and should be read in conjunction with, our Standard Terms and Conditions for the Supply of Electricity. In the event of inconsistency between the Plan terms and conditions and our Standard Terms and Conditions, the Standard Terms and Conditions shall prevail, except in relation to the fixed energy rates charged.

2, The fixed rate only applies to the energy charges payable by you. Meridian reserves the right to adjust other charges payable by you to reflect changes in distribution and other lines company charges. Meridian may also adjust the fixed rate if Meridian considers it necessary to recover any Electricity Commission Levy and any other governmental or regulatory charges incurred by Meridian in connection with the supply of electricity to you ("Levy Charges"). Clause 16.3 of our Standard Terms and Conditions will not apply to the fixed rate payable by you.

3, Commencement Date:

a) For new Meridian customers on a Plan this is the date that Meridian started to supply you electricity;

b) For existing Meridian customers who switch from another Meridian plan, this is the first day of your current billing period. (For example, if we agree to a Plan on 4 July 2009, and your current billing period is from 16 June 2008 to 15 July 2009, your Plan will apply from 16 June 2009).;

4, Expiry Date: Subject to early termination in accordance with our Standard Terms and Conditions or clause 6 below: (a) if you are on a two year Fixed Energy Plan, the Plan shall expire two (2) years following the last day of the month of us agreeing to the Plan, (for example, if we agree to a Plan on 4 July 2009, the Plan would expire on 31 July 2011); or (b) if you are on a three year Fixed Energy Plan, the Plan shall expire three (3) years following the last day of the month of us agreeing to the Plan, (for example, if we agree to a Plan on the 4 July 2009, the plan would expire on 31 July 2012).

Upon expiry of the Plan Meridian may at its discretion continue to offer you the same Plan; offer you a new Plan; or move you onto the relevant rates on the then current Meridian Rate Plan for your area.

5, Meridian's standard prompt payment discount only is available to you in relation to the fixed rates and Levy Charges under the Plan.

6, You may switch from the Plan to another Meridian plan and the Commencement Date for the new Meridian plan will be applied from the first day of your current billing period.

7, If you move premises during the term of the Plan, and Meridian has an equivalent Plan available at your new location you may transfer to a new Plan based on the rates applicable to the metering configuration at the new premises as available at the commencement date of the current Plan. Note that different fixed rates may apply between Network regions and meter configurations.

8, Early Termination:

If you terminate the Plan before the Expiry Date you will be charged an exit fee of $75 (including GST) for each Installation Control Point (“ICP”) serviced under the Plan. The fee will be applied to your final electricity invoice for each installation. For the avoidance of doubt the exit fee shall not apply if, you switch from the Plan to another Meridian plan, including Meridians standard rates or a Corporate Customer Electricity Supply Agreement.

9, Termination - This Plan will terminate in the event:

a) You terminate the Plan by notifying one of our Business or Customer Service Representatives. The Plan will cease to be applied from the first day of your current billing period. The current bill will then be based on the relevant rates on the current Meridian Rate Plan for your area;

b) You move premises and Meridian does not have a Plan applicable to your new meter installation as at the Commencement Date. Your current bill will then be based on the relevant rates on the current Meridian Rate Plan for your area;

c) You switch your electricity supply to another retailer. The Plan will automatically terminate on the date that your new retailer becomes responsible for your electricity supply. You are responsible for paying for any electricity used up until the time of the switch;

d) Meridian at its discretion may terminate the Plan if the capacity or metering of the ICP(s) agreed under the Plan changes; or

e) Meridian disconnects you for any reason pursuant to clause 12 of our Standard Terms and Conditions. If you are later reconnected by us, you will not be eligible for Plan, unless Meridian agrees otherwise.
